Terms of Service

Welcome to Colabli, an AI implementation platform that helps business owners plan, generate, and ship AI work. By creating an account or using Colabli, you agree to these Terms of Service. If you do not agree, please do not use the service.

1. Acceptance of Terms

By accessing or using Colabli, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you use Colabli on behalf of a company, you confirm you have authority to bind that company to these Terms.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use Colabli.

3. Accounts and Workspaces

You agree to provide accurate information and keep your credentials secure. Each account belongs to a workspace, and you are responsible for all activity that occurs within your workspace, including activity by members you invite.

4. The Service

Colabli provides a workspace for projects, tasks, and a library, plus Copilot, an AI assistant that generates blueprints, playbooks, prompts, and project plans. We may add, change, or remove features over time to improve the service.

5. Plans, Billing, and Renewals

Colabli offers a Free plan with a monthly Copilot token allowance and paid Pro plans billed monthly or yearly. Paid plans renew automatically at the end of each billing period until cancelled. Payments are processed securely by Stripe. Prices may change with advance notice, and changes apply from your next billing period.

6. Token Allowances and Token Packs

Copilot usage is measured in tokens. Monthly plan allowances reset each billing period and do not roll over. Token packs are available to Pro workspaces as one-time purchases that add to your balance and are used after your monthly allowance runs out. When your available tokens are used up, Copilot is paused until your allowance resets, you upgrade, or you buy a token pack.

7. Cancellations and Refunds

You can cancel your subscription at any time from Billing settings. Cancellation takes effect at the end of the current billing period, and you keep Pro access until then. Except where required by law, payments for subscriptions and token packs are non-refundable, including for unused tokens or partial periods.

8. Your Content and AI Outputs

You keep full ownership of the content you submit to Colabli, including company information, uploaded files, and prompts. Subject to these Terms, you also own the outputs Copilot generates for you, such as blueprints, playbooks, prompts, and project plans, and may use them for any lawful purpose, including commercially. You grant us a limited license to store and process your content only to operate and provide the service to you.

9. AI Output Disclaimer

AI-generated outputs may be inaccurate, incomplete, or unsuitable for your situation. They are provided to assist your planning and work, not as professional, legal, financial, or technical advice. You are responsible for reviewing outputs before relying on or deploying them.

10. Acceptable Use

You agree not to use Colabli to break the law, infringe others' rights, generate harmful, abusive, or deceptive content, send spam, distribute malware, attempt to bypass usage limits or security, scrape the service, or reverse engineer it. We may limit usage to protect the service and other users.

11. Suspension and Termination

You may stop using Colabli and delete your account at any time. We may suspend or terminate accounts that violate these Terms or put the service or other users at risk.

12. Disclaimer of Warranties

Colabli is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee the service will be uninterrupted, error-free, or completely secure.

13. Limitation of Liability

To the maximum extent permitted by law, Colabli will not be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Our total liability for any claim is limited to the amount you paid us in the 12 months before the claim arose.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions.

15. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page with a revised date and notify you of material changes. Continued use of Colabli after changes take effect means you accept the updated Terms.
